Background

Ownership

Bitar Holdings, through TE-TO AD Skopje, owns the Skopje CHP power station along with several other assets. However, in its 2023 report, TGC-2 (Territorial Generating Company No. 2) stated that it had received notification of changes in the shareholder registry and the disposal of 60% of shares in TE-TO AD Skopje. As a result, TGC-2’s indirect stake in the company decreased to 29.2%. According to the report, TGC-2 management was working to regain control over its foreign assets. TGC-2 acquired the North Macedonian Bitar group in 2016, but as early as 2020 it reported that the sale of 100% of Bitar’s shares was a priority and that it was actively seeking a buyer. In the company's 2022 report, Bitar was listed as an asset held for sale, valued at RUB 17.61 billion, with liabilities amounting to RUB 4.16 billion. In 2023, shareholder changes also occurred within TGC-2 itself. Following a series of court decisions, 83.42% of the generation company was transferred to the ownership of Rosimushchestvo (the Russian Federal Agency for State Property Management). In the fall of 2024, these shares were placed under trust management until July 2025 with Centrenergo Holding PJSC, part of Gazprom Energoholding.[9]
